TERMS AND CONDITIONS GLOBALGIFT

By using GlobalGift, you accept these terms and conditions. This agreement is a contract between you (the "User") and GlobalGift.

GlobalGift is a B2B2B technology platform that acts as an intermediary connecting customers with local businesses through digital vouchers. We do not handle physical merchandise or make shipments.

Before making any purchase, we inform you: - Identification of GlobalGift: platform operated under Italian laws - Complete characteristics of the voucher - Total price with commissions included - Available payment methods - Right of withdrawal according to refund policy - Validity period of the voucher

4.1 You must be 18 years or older to use GlobalGift. 4.2 Upon registration, you declare under oath that you provide true, accurate and complete information. 4.3 You are responsible for maintaining the confidentiality of your account. 4.4 GlobalGift reserves the right to verify the identity of users and businesses.

5.1 The review time for each business application is estimated as necessary to verify its real, legal and concrete existence. 5.2 GlobalGift reserves the right to reject businesses that do not meet its requirements.

6.1 Each voucher has a unique and unrepeatable QR code that guarantees its use only once. 6.2 Vouchers are valid for the period specified in each one. 6.3 Once redeemed, the voucher is non-refundable and non-transferable.

7.1 Customers select vouchers and make secure payment through authorized processors (Stripe, Mercado Pago, others in the future). 7.2 The retention of GlobalGift's 5% commission is made on the full price published in each Voucher. 7.3 Other costs, taxes and/or discounts may be added depending on the payment platform and/or tax legislation of each country and are at the expense and order of the business offering the voucher. 7.4 Payments are processed with Stripe Connect security standards, which include: - 256-bit data encryption - PCI DSS Level 1 compliance - Multifactor authentication - 24/7 fraud monitoring

8.1 Businesses can associate bank accounts to receive payments. 8.2 For international transfers, the WISE bank account is used, Rue du Tróne 100, 3rd floor, Brussels, 1050, Belgium.

9.1 GlobalGift: Secure payment processing, voucher delivery and mediation in disputes. 9.2 Businesses: Honor valid vouchers during their validity and provide promised services. 9.3 Customers: Present vouchers in conditions and respect validity dates.

10.1 Modification of business data can only be performed by the owner. 10.2 Each business owner has exclusive management of their information as well as the designation of "employees" who have their own dashboard that allows them to redeem or validate business vouchers. 10.2.1 Employees do not have access to the creation, editing or deletion of vouchers in the business nor can they modify business data such as address, name, logo, city, etc.

11.1 GlobalGift acts as an intermediary and is not responsible for the quality of services provided by businesses. 11.2 Businesses are responsible for the services they offer. 11.3 In case of dispute, GlobalGift will act as mediator but does not assume responsibility for third party breaches. 11.4 Our responsibility is limited to the amount of commission received for each transaction.

12.1 GlobalGift complies with applicable EU (GDPR), US and MERCOSUR data protection laws. 12.2 We collect only information necessary to provide our services. 12.3 Data is stored securely and not shared with third parties without consent. 12.4 Users can request access, correction or deletion of their data.

13.1 We implement appropriate technical and organizational measures to protect information. 13.2 We use encryption and firewalls to protect user data. 13.3 We conduct periodic security audits.

14.1 It is prohibited to use GlobalGift for illegal, fraudulent or unauthorized activities. 14.2 The sale of vouchers for illegal products or services is not allowed. 14.3 Any user or business that violates the regulations under which GlobalGift operates will be immediately removed from the platform without prior notice or warning.

15.1 GlobalGift reserves the right to review and/or reject any vouchers uploaded to different businesses for being offensive, illegal or counterfeit/duplicate.

16.1 Eligibility period: 24 hours from confirmed purchase. 16.2 Only for vouchers not redeemed in businesses. 16.3 Process through request to [email protected]. 16.4 Processing time: 5-7 business days.

17.1 In case of dispute between customer and business, the customer must first contact the business. 17.2 If there is no resolution, GlobalGift will mediate as an intermediary. 17.3 The final decision will be made considering the evidence presented by both parties. 17.4 GlobalGift reserves the right to temporarily suspend funds while the dispute is resolved.

18.1 All GlobalGift content is property of the platform. 18.2 Business logos are used with their express authorization.

19.1 GlobalGift may modify these terms with 30 days prior notice. 19.2 Continued use of the service after modifications constitutes acceptance.

20.1 Either party may terminate this agreement with 30 days prior notice. 20.2 GlobalGift may immediately terminate service for violation of these terms.

21.1 These terms are governed by the laws of Italy. 21.2 Any dispute will be resolved in the courts of Rome, Italy.
